1. Acceptance of Terms

By accessing or using Neuka AI's services, websites, or mobile applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Neuka AI provides AI-powered creative tools and services including:

  • Brainstorming: AI-assisted ideation and creative planning
  • ShotCoach: Content creation guidance and recipes
  • AuraMeter: Mood and energy analysis for optimal creativity
  • Idea Vault: Storage and organization of creative concepts
  • Content Creation: AI-powered tools for various media formats

3. User Accounts

Account Creation

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

Account Eligibility

You must be at least 13 years old to use the Service. Users under 18 must have parental consent. By using the Service, you represent that you meet these age requirements.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Create content that is illegal, harmful, threatening, abusive, or discriminatory
  • Violate any intellectual property rights
  • Impersonate any person or entity
  • Distribute spam, malware, or harmful code
  • Attempt to gain unauthorized access to the Service
  • Use the Service for any commercial purpose without proper licensing
  • Generate content that violates platform policies of third-party services
  • Create deepfakes or misleading synthetic media without disclosure

5. Subscription and Payment Terms

Subscription Plans

We offer multiple subscription tiers with different features and usage limits. Subscription fees are charged in advance on a monthly or annual basis.

Billing Cycles

Our billing follows industry-standard practices used by major subscription services:

  • Monthly Billing: Subscriptions are billed every 30 days from your upgrade date, not on a fixed calendar date
  • Billing Date: You will be charged on the same day each month. For example, if you upgrade on November 15th, your subsequent billing dates will be December 15th, January 15th, February 15th, and so on
  • February Handling: If your billing day is the 29th, 30th, or 31st, billing for February will occur on the last day of February (28th in regular years, 29th in leap years). After February, billing returns to your original billing day in subsequent months
  • Usage Limits vs. Billing: Monthly usage limits (for features like Brainstorm, ShotCoach, AuraMeter, and Idea Vault) reset on the 1st day of each calendar month, regardless of your billing date. This means you may receive fresh usage limits before or after your billing date
  • Example: If you upgrade on November 15th:
    • Your first billing occurs on November 15th
    • Your usage limits reset on December 1st
    • Your next billing occurs on December 15th
    • This pattern continues with usage resetting on the 1st and billing on the 15th of each month

Founding Creators Program

The Founding Creators 100 program offers exclusive early access and benefits under the following terms:

  • Initial Access Period: Premium features are granted for 1 month from activation date
  • Badge Retention: To permanently retain the Founding Creator badge and lock in lifetime Pro pricing, members must upgrade to Pro within 7 days after the initial 1-month period ends
  • Failure to Upgrade: If a Founding Creator does not upgrade within the 7-day window, their account will revert to Free tier features and the Founding Creator badge will be removed
  • Lifetime Pricing Lock: Founding Creators who upgrade to Pro during the eligible window receive locked-in Pro pricing for the lifetime of their subscription, regardless of future price increases
  • Non-Transferable: Founding Creator status and benefits are non-transferable and tied to the original account holder
  • Limited Availability: The program is limited to the first 100 qualified applicants and may close at any time

Payment Processing

Payments are processed by third-party payment providers (Stripe). You authorize us to charge your chosen payment method for all applicable fees. We do not store your payment card details.

Refunds and Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period - you will retain access to paid features until the next billing date
  • No refunds are provided for partial months or unused features
  • Free trial cancellations take effect immediately
  • Founding Creator pricing is locked in for active Pro subscribers only; canceling your Pro subscription forfeits the locked-in pricing

Price Changes

We may change subscription prices with 30 days' advance notice. Price changes do not affect existing subscriptions until renewal. Founding Creators who maintain active Pro subscriptions retain their locked-in pricing regardless of future price changes.

6. Intellectual Property Rights

Your Content

You retain ownership of content you create using our Service. You grant us a license to:

  • Store, process, and display your content to provide the Service
  • Use anonymized, aggregated data to improve our AI models
  • Share your content with third-party service providers necessary for the Service

Our Intellectual Property

The Service, including its AI models, algorithms, design, and content, is owned by Neuka AI and protected by intellectual property laws. You may not:

  • Copy, modify, or reverse engineer our Service
  • Use our trademarks or branding without permission
  • Create derivative works based on our Service

AI-Generated Content

Content generated by our AI tools may not be copyrightable. You're responsible for ensuring compliance with applicable copyright laws when using AI-generated content.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in our Privacy Policy.

Data Processing

We process your data to provide and improve the Service, including using your content to train and enhance our AI models in anonymized form.

8. Service Availability and Modifications

Service Availability

We strive to maintain high availability but don't guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or technical issues.

Modifications to Service

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We're not liable for any modification, suspension, or discontinuation.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
  • OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
  • WE'RE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • YOU USE THE SERVICE AT YOUR OWN RISK

10. Indemnification

You agree to indemnify and hold harmless Neuka AI from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your content or conduct
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

Termination by You

You may terminate your account at any time by canceling your subscription or contacting support.

Termination by Us

We may terminate or suspend your account immediately if you:

  • Violate these Terms
  • Engage in harmful or illegal activities
  • Fail to pay applicable fees
  • Abuse our support staff or other users

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your account and all associated data will be permanently deleted according to our Privacy Policy. No data is retained after account deletion.

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Arbitration

Any disputes will be resolved through binding arbitration rather than in court, except for small claims court matters and intellectual property disputes.

Class Action Waiver

You agree not to participate in class action lawsuits against us.

13. Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Neuka AI.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

No Waiver

Our failure to enforce any provision doesn't constitute a waiver of that provision.

Assignment

We may assign these Terms to any affiliate or successor. You may not assign your rights without our consent.

14. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes by:

  • Email notification to your registered email address
  • Prominent notice on our website
  • In-app notification

Continued use of the Service after changes constitutes acceptance of the new Terms.
